Terms of Service

These Terms of Service (the “Terms”) constitute a legally binding agreement between you and Cash’s Inner Circle LLC (“OpenFlow,” “we,” “us,” or “our”). These Terms govern your access to and use of our website, software, automation tools, educational materials, community spaces, and any related services (collectively, the “Services”).

Please read these Terms carefully. By accessing or using the Services, you agree to be bound by them. If you do not agree, do not use the Services.

1. Acceptance of Terms

By creating an account, purchasing a subscription, submitting an application, or otherwise accessing the Services, you confirm that you have read, understood, and agree to these Terms and to our Privacy Policy, Refund Policy, Risk Disclosure, Earnings Disclaimer, and Software License Agreement, each of which is incorporated into these Terms by reference.

2. Eligibility

You must be at least 18 years of age (or the age of legal majority in your jurisdiction, whichever is greater) and capable of forming a binding contract to use the Services. By using the Services, you represent and warrant that you meet these requirements and that your use of the Services does not violate any law or regulation applicable to you. The Services are not directed at, and may not be used by, anyone under the age of 18.

3. Description of Services

OpenFlow provides:

  • Software: trading automation tools designed to execute a rule-based trading model on supported third-party trading platforms, subject to the configuration and settings you control;
  • Education: instructional content, documentation, and training materials related to the OpenFlow strategy and the use of our software; and
  • Community: access to community spaces (such as a Discord server) where members can discuss trading, the software, and related topics.

OpenFlow is a software and education provider only. We are not a broker, dealer, futures commission merchant, commodity trading advisor, investment adviser, or fiduciary, and nothing in the Services constitutes financial, investment, tax, or legal advice. 4. Accounts

To access certain Services you must create an account and provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to notify us immediately through our official support channels of any unauthorized use of your account. We may suspend or terminate accounts that provide false information or that we reasonably believe have been compromised.

5. Acceptable Use

You agree that you will not:

  • use the Services for any unlawful purpose or in violation of any applicable regulation;
  • share, resell, sublicense, or transfer your account or license to any other person;
  • copy, modify, reverse engineer, decompile, or create derivative works of the software, except as permitted by applicable law;
  • interfere with or disrupt the Services, including by introducing malware or attempting to gain unauthorized access to our systems or other users’ accounts;
  • scrape, harvest, or collect data from the Services by automated means without our written permission;
  • harass, abuse, or harm other members of the community; or
  • misrepresent your results, impersonate OpenFlow, or use our name or marks to promote any other product or service without written permission.

6. Subscriptions, Billing, and Fees

Certain Services require payment of subscription fees, setup fees, or one-time purchase fees, as described at checkout. By purchasing, you authorize us and our third-party payment processors to charge the payment method you provide on a recurring basis (for subscriptions) until you cancel. Prices are stated in U.S. dollars (USD) and are exclusive of any applicable taxes unless stated otherwise. We may change pricing prospectively with reasonable notice; changes will not affect a billing period that has already been paid. Cancellations and refunds are governed by our Refund Policy.

7. Intellectual Property

The Services, including all software, source code, algorithms, strategy logic, text, graphics, logos, videos, and other content, are owned by Cash’s Inner Circle LLC or its licensors and are protected by copyright, trademark, trade secret, and other intellectual property laws. Subject to these Terms and the Software License Agreement, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Services for your own personal, non-commercial use. No rights are granted to you other than as expressly set out in these Terms.

8. Third-Party Platforms and Prop-Firm Accounts

The software connects to or operates alongside third-party trading platforms, data feeds, brokers, and proprietary trading (“prop”) firms that we do not own or control. Your use of any third-party platform is governed solely by that third party’s terms, and you are solely responsible for:

  • maintaining your own accounts with those third parties;
  • reading, understanding, and complying with all rules of any prop firm or broker you use, including rules regarding automation, drawdown, position sizing, and permitted trading conduct; and
  • any losses, account breaches, disqualifications, or fees resulting from your use of third-party platforms, whether or not the software was involved.

We make no representation that use of the software is permitted by any particular prop firm or broker. Verify permission with the third party before connecting the software.

9. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY TRADE WILL BE EXECUTED AT ANY PARTICULAR TIME OR PRICE. TRADING INVOLVES SUBSTANTIAL RISK OF LOSS. PAST PERFORMANCE IS NOT INDICATIVE OF FUTURE RESULTS.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CASH’S INNER CIRCLE LLC AND ITS OFFICERS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY TRADING LOSSES, LOST PROFITS, LOST DATA, OR LOSS OF GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICES WILL NOT EXCEED THE AMOUNTS YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

11. Indemnification

You agree to indemnify, defend, and hold harmless Cash’s Inner Circle LLC and its officers, employees, contractors, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to (a) your use of the Services, (b) your trading activity, (c) your violation of these Terms, or (d) your violation of any law or the rights of any third party, including any broker or prop firm.

12. Termination

You may stop using the Services at any time and may cancel a subscription as described in the Refund Policy. We may suspend or terminate your access to the Services at any time, with or without notice, if we reasonably believe you have violated these Terms, pose a risk to other users or to us, or where required by law. Sections that by their nature should survive termination (including Sections 7, 9, 10, 11, and 13) will survive.

13. Governing Law and Disputes

These Terms are governed by the laws of the jurisdiction in which Cash’s Inner Circle LLC is organized, without regard to conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the Services will be resolved exclusively in the courts of that jurisdiction, and you consent to personal jurisdiction there.

14. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will provide notice by posting the updated Terms on this page and updating the “Last updated” date, and where appropriate by additional notice (such as email). Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
